Welcome to Ozara, a DBA of HLTH LAB Inc., a California corporation (“HLTH LAB,” “Ozara,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile application, and related technology platform (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
Corporate Structure & Nature of Services
Ozara is a brand name of HLTH LAB Inc., a California-based management services organization (“MSO”).
HLTH LAB Inc.:
- Provides technology infrastructure and administrative support services
- Facilitates scheduling, communication, and billing support
- Does not practice medicine
- Does not control clinical decision-making
Medical services are provided solely by independent professional medical entities organized under applicable state law, including but not limited to:
- HLTH Lab Medical LLC
- Doctors Office & Walk-In Clinic CA, Inc.
- Doctors Office CT PLLC
These professional entities:
- Employ or contract with licensed healthcare professionals
- Exercise exclusive authority over diagnosis and treatment
- Maintain medical records
- Bill and collect for professional medical services
Nothing in these Terms creates a physician–patient relationship with HLTH LAB Inc.
A physician–patient relationship is formed only with the applicable professional medical entity when you receive clinical care.
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform.
By using the Platform, you represent that:
- You have legal capacity to enter into these Terms
- All information you provide is accurate and complete
Platform Services vs. Medical Services
3.1 Platform Services
The Platform may provide:
- Health education content
- Wellness tools
- AI-supported intake features
- Administrative coordination
- Appointment scheduling
These features may be informational only.
3.2 Medical Services
If you receive clinical care:
- Care is delivered by a licensed clinician employed or contracted by the applicable professional medical entity.
- Medical judgment is exercised solely by that clinician.
- HLTH LAB Inc. is not responsible for medical decisions or outcomes.
Health & Emergency Disclaimer
Except when directly receiving care from a licensed clinician:
- Content on the Platform is for informational purposes only.
- It is not medical advice, diagnosis, or treatment.
- Do not disregard professional medical advice based on Platform content.
If you are experiencing a medical emergency, call 911 or seek immediate medical attention.
The Platform is not intended for emergency use.
Insurance & Financial Responsibility
Professional medical services are billed by the applicable professional medical entity.
Insurance participation varies by:
- State
- Network
- Plan type
- Employer group
Verification of benefits is not a guarantee of payment.
You are responsible for:
- Copayments
- Deductibles
- Coinsurance
- Non-covered services
- Charges denied by your insurer
Certain non-clinical services (including membership or subscription services offered through HLTH LAB Inc.) may not be insurance reimbursable.
User Accounts
You may be required to create an account.
You agree to:
- Provide accurate information
- Maintain confidentiality of login credentials
- Notify us of unauthorized access
We may suspend or terminate accounts for violations of these Terms.
Acceptable Use
You agree not to:
- Use the Platform for unlawful purposes
- Submit false or misleading health information
- Interfere with system integrity
- Misuse clinician communication tools
Violation may result in termination of access.
Privacy & HIPAA
Your use of the Platform is governed by our Privacy Policy.
If you receive medical services, your protected health information (PHI) may be handled in accordance with HIPAA and applicable state law by the professional medical entity providing care.
HLTH LAB Inc. may act as a business associate to professional medical entities where applicable.
Third-Party Services
The Platform may integrate with third-party services (including payment processors, laboratories, pharmacies, or insurers).
We are not responsible for:
- Third-party content
- Service availability
- Independent business practices
Corporate Practice of Medicine Compliance
HLTH LAB Inc. operates as a management services organization in compliance with California corporate practice of medicine laws.
HLTH LAB Inc. does not:
- Practice medicine
- Employ physicians for the purpose of providing clinical care
- Control diagnosis or treatment decisions
- Influence prescribing
All clinical authority rests exclusively with the professional medical entity and its licensed clinicians.
Limitation of Liability
To the maximum extent permitted by law:
HLTH LAB Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
HLTH LAB Inc.’s total liability for claims relating to the Platform shall not exceed the greater of:
- the amount you paid directly to HLTH LAB Inc. in the twelve (12) months preceding the claim; or
- one hundred dollars ($100).
This limitation does not apply to professional medical entities providing clinical care, whose liability is governed separately.
Indemnification
You agree to indemnify and hold harmless HLTH LAB Inc. from claims arising out of:
- Misuse of the Platform
- Violation of these Terms
- Submission of inaccurate or fraudulent information
Arbitration & Class Action Waiver
Any dispute arising out of or relating to the Platform or these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
You waive the right to participate in any class action or representative proceeding.
This provision does not apply to claims that cannot legally be arbitrated.
Governing Law & Venue
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in California, and you consent to jurisdiction in those courts.
